MCA Revises Form MGT-7: What Company Secretaries and Corporates Must Know

In a significant move aimed at enhancing corporate transparency and streamlining annual return filings, the Ministry of Corporate Affairs (MCA) has revised Form MGT-7, applicable to companies other than One Person Companies (OPCs) and small companies. The revised form will come into effect from July 14, 2025, and will be available exclusively on the MCA V3 portal.

These updates signal a shift toward more digital, data-driven, and disclosure-intensive compliance, emphasizing accountability and accuracy.

1. Excel-Based Upload for Shareholder & Debenture Holder Details

Gone are the days of uploading scanned PDFs. An Excel template will now be required to report detailed data of shareholders and debenture holders, making the process more structured and analyzable.

2. Gender-Wise Shareholding Disclosure

In a move towards inclusive corporate data reporting, companies must now disclose the gender of shareholders. This supports broader regulatory and ESG-related assessments.

3. Mandatory Photograph of Registered Office

4. Meeting Disclosures via Excel

Companies are required to confirm their name and registered office address as they stood on the last date of the financial year.

6. New Section for Beneficial Ownership & Designated Persons

An added layer of transparency: the form now seeks data on beneficial owners and designated persons within the company structure.

7. Linked Filing of MGT-8

The certification by a practicing professional (Form MGT-8) is now seamlessly linked to MGT-7, enabling integrated filing and reducing redundancy.

8. Hybrid Filing Support

Basic data entry can be done online, while detailed disclosures can be uploaded through Excel-based templates, offering flexibility in filing modes.

9. Data Privacy Boost

To protect sensitive information, shareholder details will not be visible in the final downloadable version of the annual return.

10. Simplified Design

Unnecessary or repetitive columns have been removed, resulting in a more user-friendly filing experience.

11. Insolvency and Liquidation Companies Can File MGT-7

Companies undergoing CIRP (Corporate Insolvency Resolution Process) or liquidation can now file their annual return through the portal, promoting better compliance even in distressed situations.
